IAWAI – Flowing Waters Board of Directors
In June 2025 a three-person Establishment Board was appointed to govern IAWAI.
The Directors are Kevin Lavery, Tim Manukau (Tainui Waka) and Dave Chambers.
The Directors were appointed by a nine-person Establishment Board Appointment Panel made up of representatives from both councils, and Waikato-Tainui.
Two additional Board members are due to be appointed and in place by 1 July 2026 – to make up the full Board.
Board appointments are made by the IAWAI – Flowing Waters Forum, in line with the Shareholders’ Agreement and company Constitution [linked below].

Establishment Board meetings
The Board meets monthly, alternating between Hamilton City Council and Waikato District Council.
The Board meetings dates for 2026 are:
- 19 March (online only)
- 16 April
- 28 May
- 18 June
Any changes to dates will be notified on the website.

Board meetings are open to the public. Those wishing to attend, or present to the board, please read our guidance below and send your name and a summary of the information to be presented to info@iawai.co.nz
Meeting guidance
- Please don’t interrupt board discussions.
- No filming or recording is allowed unless you’ve received approval in advance – please email info@iawai.co.nz
- If you are speaking, you will have 10 minutes to present your views.
- We’ll confirm your presentation time before the meeting.
- The Board and management won’t respond during the meeting, but you’ll receive a written reply within 7 days.
- You won’t be able to take part in any board discussions or speak on agenda items.
Shareholding arrangements
IAWAI – Flowing Waters is owned by Hamilton City Council and Waikato District Council. There are no other shareholders.
Both councils have equal (50:50) voting rights.
Both councils have three representatives each on the IAWAI – Flowing Waters Forum, alongside three representatives from Waikato-Tainui. It is this Forum which makes Board appointments, Waikato-Tainui has voting rights for Board appointments only.
Councils provide direction to IAWAI though a Statement of Expectations. A company Constitution and Shareholders’ Agreement also set out the obligations of the company and each shareholder.
IAWAI is required to report regularly to the IAWAI Forum on progress (as set out in the Statement of Expectations).
